This document establishes the Terms and Conditions that will govern the use that you (hereinafter the USER) make of the services provided by Nextlevel Payments Ltd. (hereinafter PAYSEPRO), Registration Number 12556237 and with address at Suite 126 Solar House, 915 High Road, N12 8QJ, London, United Kingdom.
By registering as a USER, you are expressly accepting and stating that you have read and understood in full the conditions for the provision of the service and agree to be governed by these Terms and Conditions, the Privacy Policy, Cookies Policy, the Anti-Money Laundering Policy, Anti-Terrorism Finance and the Dispute Management Policy, provided that your request is accepted.
PAYSEPRO may ammend this Terms and Conditions In this case PAYSEPRO will publish amendments on its website in order to communicate it to the USER.
Continuing to use the service once the modification has been made, will imply acceptance of it.
The USER declares to be a person able to contract by himself or by the natural or legal person he represents or declares to represent.
PAYSEPRO is a payment service provider authorised by the UK Financial Conduct Authority (FCA), and specialises in providing services in the area of online payments.
PAYSEPRO has entered into agreements with different payment service providers in different countries. It has also entered into several agreements that allow PAYSEPRO to mediate in different methods and services of payment via the web.
By using PAYSEPRO you will be able to offer and use different payment methods for the purchase of goods and services.
Using PAYSEPRO services means that you have read and expressly accept the Terms and Conditions and other policies of the following providers:
For each transaction that the USER processes through PAYSEPRO, the USER will generate a profit according to what is established in https://members.paysepro.com/pricing.html.
These Terms and Conditions will enter into force from the moment the USER presses the "SEND" button during the registration process, being its indefinite duration. Either party may terminate this agreement immediately by notifying the other party via email.
The amounts pending to be paid at the time of the termination, may be retained by PAYSEPRO, until a final settlement is practiced, to discard contingencies and according to which the amounts actually due will be paid after discarding the chargebacks or claims for the services provided by the USER.
To use our services, you must first register an account on https://www.paysepro.com/signup by entering your data on our website. As part of the registration process, you must agree to these Terms of Use and our Privacy Notice and must have the legal capacity to accept them. If you request additional services, you may be asked to accept additional terms and conditions.
All information you provide during the registration process or at any time thereafter must be accurate and truthful. Otherwise, we will automatically close your PAYSEPRO account.
When you log in for the first time to your account, you will choose the currency of your account, which will remain the currency of your PAYSEPRO account for the entire term of the agreement.
The existing balance in your account does not generate any interest.
The balance of a PAYSEPRO account belongs to the person or legal entity that is registered as the holder of the PAYSEPRO account.
You may not assign or transfer your PAYSEPRO account to a third party or give any third party an interest in it.

If your service or product is based on a subscription, your final users should know what they have subscribed to, and how to unsubscribe. It should be as easy to unsubscribe as it is to register.
Provided that the conditions detailed in this agreement are met, PAYSEPRO will pay to the USER the amounts established specifically for each service in the section identified as Prices.
Once the minimum amount to receive a payment has been reached, the USER can start the process to receive the payment of its earnings.
PAYSEPRO will verify the existence and accuracy of the payment requested and the USER will issue an invoice to PAYSEPRO for the amount indicated in the section "Billing" for sales generated in the corresponding month.
PAYSEPRO will pay as soon as possible and whenever the resulting amount is confirmed or paid by the payment processor. All the costs generated because of the payments requested by the USER, will be borne by the USER, regardless of the payment method used.
If there are transactions or requests for payment processing not processed by users or suspected of irregular or fraudulent transactions, the payment operator(s) may not pay these transactions and, consequently, they will not be paid until the effective payment by the provider. PAYSEPRO may immediately suspend any payment that is pending and will inform the USER of any non-payment and inform of the reason for it, according to what was informed by the provider.
PAYSEPRO may compensate with the current and/or future credits of the USER the amount of unpaid transactions that according to the providers correspond to methods used by the USER.
In the event that the USER ceases its activity or significantly decreases it, PAYSEPRO may suspend payments to the USER for the relevant time to cover any complaints, claims or refunds that may occur.
PAYSEPRO will provide the USER with a real-time service of statistics that will allow to control the sales generated by the USER on or the websites managed by the USER.
PAYSEPRO will be responsible for fulfilling the obligations of a general nature that refer to the benefits and facilities contracted by the USER. It shall not be liable for any deficiencies to be attributed to telecommunications network operators, access providers, payment processors and similar, and in particular, but not limited to, the following circumstances: interference due to atmospheric conditions; lack of coverage of wireless internet access networks, improper or fraudulent manipulation of internet access networks, power outages, suspension of service by the internet access provider or telecommunications network provider or suspension of service due to network or data centre problems caused by any circumstances.
PAYSEPRO will establish periodic quality controls in order to verify the correct functioning of the system and connections to the network and may temporarily suspend the service in order to carry out network verification operations, prior notification to the USER in good time. PAYSEPRO will not be liable for any damages that may be caused as a result of the suspension of the service by the electronic communications operator or derived from a decision of the operator and / or indirect affectations by the cloud service providers or others where the services of the platform are executed.
The USER expressly authorizes PAYSEPRO to disclose to payment providers in general and to the administrative and judicial bodies that require it, the information and personal data that are requested by them.
The USER understands and accepts from now on that the modifications or technical, commercial or economic variations that occur during the term of the contract communicated by the different payment providers to PAYSEPRO will be transferred to the USER and will not require any express consent for its effective application. In the event that for this reason the USER would like to terminate this contract or any of its services, he will be liable for any damages that may be caused to PAYSEPRO.
The USER accepts that the regulatory modifications that affect the provision of the services object of this, will be of immediate application and will not imply any responsibility for PAYSEPRO.
The USER will be responsible for the promotion of the services offered, and the USER will therefore assume the responsibility that derives from it.
In all advertising guidelines that are made for the promotion of services, the general and particular regulations in force in the matter and in the place where the guideline is made and, where appropriate, the uses and customs that are imposed by the authors of the advertising, publishers and other people involved in the preparation of the advertising arts must be respected.
The intellectual property rights of the site and those related to the provision of the services offered, their functionality and appearance, are the exclusive property of PAYSEPRO or used under license and the USER undertakes not to use them illegally or in a manner that may be considered as a violation of the Intellectual Property rights of PAYSEPRO or of third parties.
If it is suspected that a PAYSEPRO account was being used to carry out fraud by manipulating any of the available payment methods, the suspected account will be automatically suspended and the funds will be withheld until the chargebacks or claims for the services provided by the USER and any damages that this conduct may have generated have been effectively discarded.
The 10% of the total amount to be charged by the USER will be withheld for 6 months as a guarantee and reserve fund and its payment will be made to the USER, along with the first payment that must be made to this, once the 6 months of retention have been completed, this modality may vary according to the business model carried out by the USER.
The handling of each return or complaint raised by a user will have a cost of 25 euros that will be deducted from the balance of the USER and each refund request will have an extra cost of 15 euros.
The parties undertake to respect the confidential nature of the information they exchange in connection with this contract, understood as that related to the business that the parties are carrying out through this agreement, including, but not limited to: the trade secrets, know-how, methods and documents of any of the parties that are transmitted within the framework of this contract.
Such information may not be disclosed or made available to third parties without obtaining the prior written agreement of the other party, except by court order, request of any competent authority or in the circumstances provided for in this document.
The USER will be solely responsible for the payment of the taxes that their activity generates and PAYSEPRO may withhold any sum that for this reason should be withheld.
The rights and obligations arising from the present are those of the professional activity of each party and therefore this contract does not imply the existence of any association or employment relationship between them.
The USER declares that he has read and understood the Privacy Policy and the Anti-SPAM Policy of PAYSEPRO and undertakes to comply with them.
The addresses communicated by the parties will be valid and effective for any notification, being the responsibility of each one, to communicate the change of the same.
For any discrepancy and/or controversy that may arise in the application, performance or interpretation of this agreement, the parties, expressly waiving any other jurisdiction that may fall to them, submit to the laws of the United Kingdom and to the jurisdiction and jurisdiction of the Courts of London, the United Kingdom.
